DUE DILIGENCE INTEGRATION AND EHS PERFORMANCE IMPROVEMENT
Too often, companies leave due diligence integration to the end of the process, almost as an after-thought. They carefully study potential liabilities from soil and groundwater contamination, but rarely focus on how the new acquisition will function within their own established EHS management structure. Often this gap means that, after the deal closes, confusion is rampant as tactical crises replace sound implementation of the firm’s EHS strategy. To deal with this weakness, STC works with clients prior to completing an acquisition to devise techniques for successful integration of the new facilities’ programs into our client’s own existing systems.

Applied Materials: STC carried out an extensive benchmarking survey of 10 companies to identify their successes (and challenges) in accomplishing effective EHS due diligence integration. Applied Materials used the results of this survey to improve its own integration processes.

Medical Products Manufacturer (confidential): This company has its own highly-developed EHS management system, with which STC works closely in providing a range of ongoing professional support. STC helped devise techniques to integrate the EHS activities of newly-acquired facilities into the existing corporate system.

Northrop Grumman:
Northrop Grumman: STC led comprehensive EHS audits of three large shipyards in Louisiana, Mississippi, and Virginia following their acquisition by Northrop Grumman. STC prepared complete audit checklists for each facility, conducted the onsite audits, and helped Northrop Grumman carry out needed corrective actions. STC is now helping the client translate lessons learned from compliance management successes at one of the shipyards to the other two.
